Our Services
Crushed Ice provides bespoke software development, website creation, and digital solutions operated on a monthly management model. Our services include but are not limited to: custom website development, software solutions, IT services, and ongoing maintenance and support.
Service Agreements
Our services are typically provided under a monthly management model, which includes hosting, maintenance, support, and regular updates. Specific deliverables, timelines, and responsibilities will be outlined in individual proposals or service agreements. These form part of these Terms of Use.
Monthly Management Model
Our monthly management fee covers ongoing service provisioning, hosting, maintenance, and support. This model eliminates large upfront costs and ensures continuous improvement of your digital assets. Fees are due monthly and subject to our standard payment terms unless otherwise agreed in writing.
Partnership Not Contract
We operate on a partnership model with our clients. While we aim to build long-term relationships, either party may terminate the service with 30 days' written notice (unless specifically stated otherwise on any particular service or agreement). Upon termination, all client data and content will be provided in an appropriate format upon request subject to any outstanding fees being paid. We will not be liable for any loss of data or content after termination.
Intellectual Property Rights
Clients retain ownership of their content and data. We retain ownership of all code, processes, and tools developed to deliver our services, except where explicitly transferred via written agreement. Clients receive a license to use our software and systems for the duration of the service agreement.
Client Responsibilities
Clients are responsible for providing timely content, feedback, and approvals necessary for service delivery. Clients must ensure all content provided doesn't infringe on third-party rights and complies with applicable laws. Failure to meet these responsibilities may affect delivery timelines and outcomes.
Service Limitations
While we strive for excellence, our services are provided "as is" without guarantees of uninterrupted availability or error-free operation. We will make reasonable efforts to address any issues promptly as part of our management model. Uptime targets and response times may be specified in service agreements.
Acceptable Use
Our services and products must not be used for illegal purposes or in ways that infringe on others' rights. Clients must comply with our Acceptable Use Policy. We reserve the right to suspend services if they're used in violation of these terms or applicable laws.
Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws. As a service provider, we may process data on behalf of clients who remain the data controller. Both parties agree to comply with relevant data protection regulations.
Payment Terms
Monthly fees are collected via direct debit unless otherwise agreed. Invoices for additional services are due within 7 days. Late payments may result in service suspension. We reserve the right to review and adjust fees annually with reasonable notice.
Limitation of Liability
Our total liability for any claims arising from our services is limited to the fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or opportunities.
Jurisdiction and Law
These terms are governed by English law. The English courts have non-exclusive jurisdiction over any disputes arising from or related to our services or these terms.
Changes to Terms
We may update these terms periodically. Significant changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the revised terms.
